1. Agreement to Terms

Welcome to DubDeal. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DubDeal Inc. ("Company," "we," "us," or "our"), a company registered in Delaware, United States, with operations in Hangzhou, China.

These Terms govern your access to and use of the DubDeal website, applications, and services (collectively, the "Service"), including our AI-powered video translation and lip-sync technology.

PLEASE READ THESE TERMS CAREFULLY. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

DubDeal provides an AI-powered video translation service with lip-sync technology. Our Service allows users to:

• Upload video content for translation
• Translate video audio into 70+ languages with 175+ dialects
• Apply AI lip-sync technology to match mouth movements with translated audio
• Download translated video files for use in advertising, marketing, and personal projects
• Manage translation credits and subscription plans

The Service is provided "as is" and we continuously work to improve translation quality and features. AI translation has inherent limitations and results may vary based on input quality and content.

3. Eligibility and Account Registration

3.1 Eligibility

To use our Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Not have been previously banned or removed from the Service

3.2 Account Registration

When you register for an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Not create multiple accounts for fraudulent purposes

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. User Content and Intellectual Property

4.1 Your Content

You retain all ownership rights to the content you upload to our Service ("User Content"). By uploading content, you grant us a limited, non-exclusive, royalty-free, worldwide license to:

• Process, transform, and store your content solely for providing the Service
• Create derivative works (translations) as directed by you
• Temporarily cache and transmit your content for service delivery

This license terminates when you delete your content or close your account, except for content shared with third parties or backups retained for legal compliance.

4.2 Content Warranties and Representations

By uploading content, you represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to all User Content
• Your User Content does not infringe any third-party intellectual property rights
• You have obtained all necessary consents from individuals appearing in your videos
• Your use of translated content complies with applicable laws and regulations
• Your content does not violate any applicable laws or these Terms

4.3 Our Intellectual Property

The Service, including its original content, features, functionality, design, trademarks, and branding, is owned by DubDeal and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

6. Pricing, Payment, and Credits

6.1 Credits System

Our Service operates on a credit-based system where 1 credit equals 1 second of video translation. Credits can be obtained through:

• Free tier allocation upon account creation
• One-time credit package purchases
• Monthly subscription plans with recurring credit allocations
• Promotional offers or referral bonuses

6.2 Pricing

All prices are displayed in USD (United States Dollars) and are subject to change with reasonable notice. We will notify existing subscribers of price changes at least 30 days before they take effect. Subscription prices are locked in at the time of purchase for the duration of that billing period.

6.3 Payment Processing

Payments are processed securely through our payment provider, Creem. By making a payment, you agree to:

• Creem's terms of service and privacy policy
• Provide accurate and complete payment information
• Authorize us to charge your payment method for all purchases

All payment information is encrypted and handled in accordance with PCI DSS (Payment Card Industry Data Security Standard) requirements. We do not store your full payment card numbers.

6.4 Taxes

Prices may be exclusive of applicable taxes (VAT, GST, sales tax) depending on your location. You are responsible for paying any applicable taxes. Taxes will be calculated and displayed at checkout.

6.5 Credit Expiration

One-time purchase credits do not expire and remain available as long as your account is active. Monthly subscription credits that are not used within the billing period do not roll over to the next month.

8. Subscription Terms

8.1 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.

8.2 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access to subscription benefits until the end of your current billing period
• Monthly credits allocated for that period remain available until the period ends
• Unused monthly credits do not roll over and expire at the end of the billing period
• One-time purchase credits remain available after cancellation
• You will not be charged for subsequent billing periods

8.3 Plan Changes

You may upgrade or downgrade your subscription plan at any time. Changes take effect at the start of your next billing period. Upgrades may be applied immediately with prorated charges.

9. Data Retention and Video Storage

We retain uploaded videos and translated outputs for the following periods based on your subscription tier:

• Free users: 7 days
• Plus subscribers: 30 days
• Pro subscribers: 90 days
• Max subscribers: 365 days

After the retention period, files are automatically and permanently deleted. You should download your translated videos before the retention period expires. We are not responsible for lost content after the retention period.

You may request early deletion of your videos at any time by contacting support@dubdeal.ai.

10. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted, error-free access to the Service. We may:

• Perform scheduled maintenance with advance notice when possible
• Temporarily suspend the Service for emergency maintenance or security reasons
• Modify, update, or discontinue features with reasonable notice
• Limit or throttle usage during peak demand periods

We will provide reasonable notice before discontinuing any core Service features that materially affect your subscription benefits.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

DUBDEAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Translations will be perfect or meet all quality expectations
• Lip-sync quality will be flawless for all content types
• Any errors in the Service will be corrected

AI TRANSLATION TECHNOLOGY HAS INHERENT LIMITATIONS. RESULTS MAY VARY BASED ON INPUT QUALITY, LANGUAGE PAIRS, CONTENT COMPLEXITY, AND OTHER FACTORS.

13. Indemnification

You agree to indemnify, defend, and hold harmless DubDeal and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of or access to the Service
• Your User Content or any content you submit through the Service
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights, including intellectual property rights
• Any claim that your User Content caused damage to a third party

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, or may be conducted remotely.

14.3 Class Action Waiver

YOU AND DUBDEAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Notwithstanding the above, you may bring claims in small claims court if your claims qualify, and either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting support@dubdeal.ai or through your account settings. Upon termination, your right to use the Service will immediately cease.

15.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• Unused credits may be forfeited (except for wrongful termination)
• You remain liable for any obligations incurred before termination

15.3 Survival

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last updated" date
• Sending an email notification for significant changes
• Displaying a notice within the Service

Your continued use of the Service after the effective date of any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and DubDeal regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet/power outages.
